8.WEIGHING
The quantity of loaded Coal will be determined by ship’s draught survey at loading port by ACIRL Quality Testing Services Pty Ltd (Actest) appointed by the Seller (the &Independent Surveyor&) (the (“Draught Survey”).&&The Independent Surveyor shall issue a certificate of weight certifying the weight according to the Draught Survey (the “Certificate of Weight”).&&The Certificate of Weight shall be final and binding on the Parties.&&The costs of and associated with the Draught Survey and the Certificate of Weight shall be borne by the Seller.
9.SAMPLING AND ANALYSIS
899.1The Seller shall, at its own cost, appoint ACIRL Quality Testing Services Pty Ltd (Actest) (the &Independent Surveyor&) to carry out the sampling and analysis of the Coal at the loading port in accordance with clause 5. The Analysis results so determined at the loading port shall be final and binding for both parties.
9.2The representative sample shall be divided into three parts to provide:
(i)one sample for analysis by the Independent Surveyor at the loading port (the “Loading Port Sample”);& & & &
(ii)one sample to be delivered in a suitable airtight container properly sealed and labeled to the Buyer at the Seller’s expense within 15 (fifteen) days of the Bill of L
(iii)one sample to be retained by the Independent Surveyor in a suitable airtight container properly sealed and labeled until 90(ninety) days after the bill of lading date for the vessel (the “Umpire Sample”).
9.3The Independent Surveyor will test the Loading Port Sample in accordance with ISO Standards and against the specifications listed in clause 5.&&The Independent Surveyor shall issue a certificate of analysis certifying the results of such analysis (the “Certificate of Analysis”).&&The Certificate of Analysis shall be final and binding on the Parties for settlement of Seller’s commercial invoice.
9.4In the event that the Buyer wishes to challenge the results as certified in the&&Certificate of Analysis, on the basis that it has established a differing result from the loadport analysis, by means of Buyers own discharge port analysis, greater than the ISO reproducibility standards, it shall do so by supplying a copy of such discharge port analysis together with a written notice of its wish to challenge the loadport results to the Seller, within 60 (Sixty) days from the Bill of Lading Date. In the event that the Buyer gives such notice, the Parties shall mutually agree on an independent surveyor (the &Umpire Surveyor&), and this Umpire Surveyor shall test the Umpire Sample in accordance with ISO Standards and against the specifications in clause 4. In the event that the Buyer does not give notice challenging the Certificate of Analysis within 60 days from the Bill of Lading Date , the Buyer shall be deemed to have waived its right to challenge the Certificate of Analysis. Calling for Umpire Analysis in accordance with the terms of this clause shall be the Buyer's sole recourse in the event the Buyer wishes to challenge the Certificate of Analysis.
9.5To the extent that the results of the Umpire Analysis for the parameter(s) in question are within ISO reproducibility limits of the value(s) obtained by the Independent Surveyor, the value(s) obtained by the Independent Surveyor shall be final, and the cost of the Umpire Analysis shall be paid by the challenging Party.&&To the extent that the results of the Umpire Analysis for the parameter(s) in question are not within ISO reproducibility limits of the values obtained by the Independent Surveyor, then the results of the Umpire Analysis will replace the values obtained by the Independent Surveyor, and the cost of the Umpire Analysis will be paid by the Seller. If the Umpire Analysis results stand at the middle of the loadport results and the discharge port results, then the cost of such analysis will be equally shared by the Parties.
9.6The Buyer's representatives may attend the loading port, at the Buyer’s expense and risk, to observe the loading, sampling and weighing, provided that such attendance complies with the applicable operating procedures of the independent surveyor and/or the port (including as to numbers of representatives and hours of attendance), to be advised by the Seller from time to time.
10.SHIPPING TERMS
& & & & 91010.1NOMINATION
At least 14 days prior to ETA at loading port, Buyer will nominate the vessel to the Seller. The Seller will confirm the nominated vessel within one business day SHEX or provide reasonable grounds for rejecting Buyer’s nominated vessel. Buyer has the right to substitute the nominated vessel by latest 7 days prior to vessel’s ETA at loadport.
The nominated vessel to be gearless, maximum 20 years of age and shall be single deck, self trimming bulk carriers, suitable for the carriage of coal in bulk, classed highest Lloyds or equivalent and ITF or equivalent approved. Vessel to be P&I covered and to comply with ISM/ ISPS code. Vessel shall be clear of any deck obstructions, light poles or other objects between holds. Vessel shall have maximum beam of 46 metres and maximum arrival air draft of 18 metres.
The nomination will contain following details:
- Name and former names (if applicable)
- IMO number
- Year built, flag, class and classification society
- LOA, BEAM, DWT + Draft + airdraft
- Number of Holds and hatches
- Demurrage-/Despatch rate
- Consignee
- Notify party
- Destination port
- ETA loadport
- Expected cargo intake
- Other relevant information requested or required by Seller for compliance

10.2NOTICES
Master shall send to the loadport 7, 5, 3, 2 days and 24 hours notices of ETA at loadport and any deviation of more than 12 hours. With the 3 days ETA notice, the master will provide a stowplan and loading sequence.
Seller to guarantee 1 safe berth/anchorage always afloat at the load port.
